*User Agreement – Music Exchange LLC (Songneeds.com)*

This User Agreement (“Agreement”) is entered into by and between the user (“User”) and Music Exchange LLC, operating under the name Songneeds.com (“Company”). By using the services provided by Songneeds.com, the User agrees to the following terms and conditions:

1. *Grant of Rights:* User grants Music Exchange LLC the right to publicize and promote any music material uploaded by the User on Songneeds.com for the purpose of facilitating sales and promotion of User’s products.
2. *Content Restrictions:* User agrees not to upload or sell any music containing hate speech on the Songneeds.com platform.
3. *Subscription Termination:* In the event of intentional or accidental subscription cancellation, User acknowledges the loss of all uploaded music. User must re-upload their music if they wish to continue using the services.
4. *Ownership of Music Material:* Music Exchange LLC does not claim ownership of any music material created and uploaded by the User. All rights to the original content remain with the User.
5. *Originality and Non-Plagiarism:* User affirms that all songs uploaded are original and do not infringe upon the intellectual property rights of any third party.
6. *Client Satisfaction:* Music Exchange LLC is not responsible for any dissatisfaction or legal claims from clients regarding the music products created by the User.
7. *Legal Accountability:* Music Exchange LLC is not to be held accountable or liable for any legal action brought against the User by clients or any other third party.

By using Songneeds.com, the User acknowledges and agrees to be bound by the terms and conditions outlined in this Agreement.
